Premium Member Access Policy

1. Purpose

Edinburg Spotlight exists to preserve, celebrate, and document the individuals, organizations, and small businesses that shape the City of Edinburg through cinematic storytelling and community-driven media production.

Premium Member Access is an optional intellectual property licensing framework designed for participants who wish to maintain Edinburg Spotlight production assets as permanent components of their business branding, marketing, or digital presence beyond the standard Community Storytelling Tier.

Participation in Premium Member Access does not transfer ownership of any Content produced by Edinburg Spotlight and shall only grant those rights expressly identified within an applicable Producer Agreement.

2. Definitions

For purposes of this Policy, the following definitions shall apply:

Community Storytelling Tier

The complimentary participation model through which Edinburg Spotlight produces and distributes documentary content at no cost to featured participants. Content remains natively hosted on Edinburg Spotlight platforms and may be shared through standard platform functionality and temporary social media stories.

Premium Member

Any individual, business, organization, or entity that enters into a valid Premium Member Access agreement with Edinburg Spotlight.

Content

All films, video segments, photographs, graphics, promotional materials, interviews, audio recordings, edits, derivative works, and any other creative assets produced by Edinburg Spotlight.

Commercial Curation

The permanent display, organization, storage, highlighting, archiving, pinning, hosting, or continued use of Content within a business-owned digital environment, including but not limited to social media feeds, profile highlights, websites, marketing materials, advertising campaigns, and other branded platforms.

Temporary Social Sharing

The native reposting or sharing of publicly released Content through social media stories or equivalent features that automatically expire within twenty-four (24) hours and are not archived, pinned, saved, highlighted, or otherwise maintained as permanent brand assets.

License Period

The duration for which authorized commercial usage rights remain active pursuant to an executed Producer Agreement or membership arrangement.

3. Community Storytelling Rights

All participants featured by Edinburg Spotlight may continue to benefit from the Community Storytelling Tier at no cost.

Under this model, participants may:

• Be permanently featured across Edinburg Spotlight platforms;

• Receive native tagging and attribution where applicable;

• Allow audiences to discover their business through Edinburg Spotlight's digital archive;

• Utilize standard platform resharing functions;

• Share publicly released Content through Temporary Social Sharing methods.

The Community Storytelling Tier does not include rights for Commercial Curation or permanent business use of Edinburg Spotlight Content.

4. Intellectual Property Ownership

All Content created, produced, edited, or distributed by Edinburg Spotlight shall remain the sole and exclusive intellectual property of Edinburg Spotlight.

Premium Member Access does not constitute:

• A transfer of copyright ownership;

• A transfer of trademark rights;

• Joint authorship;

• Editorial ownership;

• Partnership interests;

• Co-production rights; or

• Any other proprietary claim not expressly granted in writing.

All rights not expressly granted shall remain reserved by Edinburg Spotlight.

5. Commercial Licensing Rights

Permanent or ongoing use of Content as part of a business's branding, marketing, promotional activities, or digital identity requires an active commercial license through Premium Member Access or another approved licensing arrangement.

Edinburg Spotlight may offer licensing structures that include, but are not limited to:

• Asset-specific licenses;

• Fixed-term licenses;

• Subscription-based licenses;

• Limited-use commercial licenses; and

• Other customized Producer Agreements.

The scope, duration, and permitted uses of any license shall be determined exclusively through the applicable agreement.

6. Early Access Viewing

Premium Members may be granted private access to completed productions prior to public release.

Early access privileges are provided solely for private viewing purposes and shall not constitute:

• Editorial approval rights;

• Creative direction authority;

• Rights to request modifications or revisions;

• Authority over release schedules;

• Authority over narrative structure, music selection, editing decisions, or artistic presentation.

Edinburg Spotlight retains sole and exclusive editorial discretion over all final productions.

7. License Expiration and Removal Requirements

Commercial usage rights granted through Premium Member Access shall remain valid only during the applicable License Period.

Upon expiration, suspension, cancellation, or termination of such rights, Members shall promptly discontinue all unauthorized commercial use of licensed Content, including any permanent digital curation that falls outside the Community Storytelling Tier.

Continued use following termination shall require a renewed or modified Producer Agreement.

8. Payment Requirements

All Premium Member privileges, licensing rights, and related permissions shall become effective only upon full satisfaction of all applicable membership terms and financial obligations.

No commercial rights shall exist unless expressly authorized by Edinburg Spotlight through an active agreement.

9. Reservation of Rights

Edinburg Spotlight expressly reserves all rights not specifically granted under this Policy or any related Producer Agreement.

Nothing within this Policy shall be interpreted as granting ownership interests, editorial authority, co-authorship rights, or permanent proprietary claims to any Content produced by Edinburg Spotlight.

10. Policy Modifications

Edinburg Spotlight reserves the right to revise, amend, modify, or update this Policy at any time.

The version published on the official Edinburg Spotlight website shall constitute the governing version for all future memberships, renewals, and licensing arrangements.
